Beta LED Signs Letter of Intent with Strategic Partner for Cree Lighting Products

Beta LED Lighting has taken another step toward returning Cree Lighting products to the market.

In a letter sent Wednesday to customers, manufacturer representatives, suppliers, and other business partners, Beta LED announced that it has signed a Letter of Intent with a strategic lighting partner. The agreement outlines plans to manufacture and sell Cree Lighting products. The company expects production to begin during the next quarter but did not identify its partner.

The announcement follows Beta LED’s May 12 acquisition of key operating assets of Cree Lighting through an Article 9 Uniform Commercial Code sale. Those assets included inventory, equipment, customer and supplier information, and other business assets related to the Cree Lighting operation.

Manufacturing Plans Begin to Take Shape

When Beta LED acquired the assets in May, the biggest question facing the industry was simple: How—and when—would Cree Lighting products return to the market?

This week’s announcement begins to answer that question.

According to Beta LED, the company has spent the past several weeks evaluating opportunities created by the acquisition. The Letter of Intent establishes a framework for resuming the manufacture and sale of Cree Lighting products. Beta LED said it expects to release additional details soon.

The company also expressed its desire to continue working with existing sales agencies, customers, and suppliers.

“We look forward to each of you having the opportunity to work with Beta LED and its strategic partner,” the company wrote. It added that it hopes to build “a mutually beneficial, long-standing business relationship.”

New Announcement Raises New Questions

While the letter provides an important update, it also creates several new questions.

Earlier this year, the previous Cree Lighting organization announced that it had entered into a manufacturing agreement to reduce product backlogs during its financial restructuring. The company never publicly identified that manufacturing partner.

Beta LED’s latest announcement refers to a “strategic lighting partner,” but it is unclear whether this is the same company or a different organization.

The letter also leaves several operational questions unanswered. Will Beta LED manage the existing representative network, or will that responsibility fall to the strategic partner? Will Cree Lighting continue to exist as an operating company, or will Beta LED market Cree Lighting-branded products manufactured by a third party?

The company also did not identify where products will be manufactured, which product families will return first, or whether existing distribution channels will remain unchanged.

Waiting for the Next Announcement

Another point worth noting is that a Letter of Intent is generally non-binding. Before production begins, the parties typically must negotiate and execute definitive agreements.

Beta LED said it expects to issue a more detailed announcement once those agreements are complete. But Cree Lighting never named its previous 3rd-party manufacturer. Are we to believe that Beta LED will be more transparent?

For customers, representatives, distributors, and suppliers, the latest letter indicates that plans to restart the Cree Lighting product line are moving forward. However, many of the business details that will determine how the company operates remain unknown.

The next announcement will hopefully provide a clearer picture of the strategic partner, the manufacturing plan, and the future structure of the Cree Lighting business.
